Winkly — Terms of Service

These Terms of Service (“Terms”) govern your use of the Winkly mobile application and related services (“Winkly”, “Service”, “we”, “us”). By creating an account or using Winkly, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

Winkly is operated by Winkly Technologies UG (haftungsbeschränkt) (or the entity stated in the app or on our website). Our contact details are set out in the Privacy Policy and in the “Support & legal” section of the app.

2. Eligibility and account

• You must be at least 18 years old (or the age of majority in your country) to use Winkly.
• You must provide accurate information when registering and keep it up to date.
• You are responsible for keeping your login details secure and for all activity under your account.
• One natural person or one business entity per account, as selected during sign-up (Personal or Business account).

3. Description of the Service

Winkly is a multi-mode app that includes:

• Romance — Dating: discover, match, chat, and plan dates.
• Friends — Platonic connections: discover, connect, 1:1 and group chats, plan meetups and events.
• Business — Professional discovery and networking: search, connect, chat, plan meetings and events.
• Events — Create, discover, and join events; event chats and planner integration.
• Planner — Unified calendar for dates, meetups, business meetings, and events.
• Winkly AI — AI-powered suggestions (e.g. recommendations, planning, concierge), where available under your subscription.

We may add, change, or discontinue features with reasonable notice where practicable. Some features may be limited by subscription tier or region.

4. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws.
• Harass, bully, threaten, or abuse others, or send spam or unsolicited commercial messages.
• Impersonate any person or entity, or misrepresent your identity or affiliation.
• Share content that is defamatory, obscene, infringing, or that incites violence or discrimination.
• Scrape, automate access, or attempt to circumvent technical or access limitations without our permission.
• Reverse-engineer, decompile, or extract source code from the app except as permitted by law.
• Use the Service in a way that could harm, overload, or impair our systems or other users’ experience.

We may suspend or terminate your account and access if you breach these Terms or our Community Guidelines, or for other serious reasons (e.g. safety, legal compliance).

5. Your content and licence

• You keep ownership of content you submit (e.g. profile text, photos, messages).
• You grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that content as necessary to provide and operate the Service (e.g. showing your profile to other users, storing messages, powering AI features within the scope described in our Privacy Policy). This includes sublicensing to service providers that help us run the Service.
• You are responsible for ensuring you have the right to post your content and that it does not infringe others’ rights. We may remove content that we reasonably believe violates these Terms or the law, or in response to reports.

6. Subscription, payments, and refunds

• Some features are available only with a paid subscription (e.g. Super, Premium). Terms of the subscription (price, duration, renewal) are shown before purchase.
• Payments are processed by third-party providers (e.g. app store or our payment processor). Their terms apply to the payment transaction.
• Refunds are governed by the applicable app store or payment provider policy and by applicable law. We do not guarantee refunds beyond what is required by law.

7. Intellectual property

Winkly’s name, logo, design, and materials (excluding your content) are owned by us or our licensors. You may not use them without our prior written permission. You do not acquire any right in our intellectual property by using the Service.

8. AI features

• Winkly AI uses allowlisted context (e.g. mode, location, dates, profile summaries) to provide suggestions. We do not use your raw chat or full message history to train third-party AI models in a way that identifies you. Details are in our Privacy Policy.
• AI output is for informational and assistive use only. You remain responsible for your decisions and for checking important information (e.g. event times, locations) yourself.

9. Disclaimers

• The Service is provided “as is”. We do not guarantee that it will be uninterrupted, error-free, or fit for any particular purpose beyond what we describe.
• We are not responsible for the conduct of other users or for content they post. You use discover, chat, and meetups at your own risk and should take normal precautions when meeting people in person.
• To the extent permitted by law, we exclude implied warranties and conditions.

10. Limitation of liability

• To the fullest extent permitted by applicable law, we (and our affiliates, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use or inability to use the Service.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months before the claim (or, if no payment, €100).
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnity

You agree to indemnify and hold harmless us and our affiliates, officers, and employees from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

12. Termination

• You may stop using the Service at any time and request account deletion (see Privacy Policy for how we handle your data on deletion).
• We may suspend or terminate your account as set out in these Terms (e.g. breach of acceptable use). We will use reasonable efforts to give notice where appropriate.
• On termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g. intellectual property, disclaimers, limitation of liability, indemnity, governing law) will survive.

13. Changes to the Terms

We may update these Terms from time to time. We will post the updated version (e.g. on our website or in the app) and indicate the “Last updated” date. If the changes are material, we will provide additional notice (e.g. in-app or by email) where practicable. Continued use of the Service after the effective date of the new Terms constitutes acceptance. If you do not agree, you must stop using the Service and may delete your account.

14. General

• Entire agreement: These Terms (together with the Privacy Policy and any subscription or payment terms) constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce a right does not waive that right.
• Assignment: We may assign our rights and obligations under these Terms; you may not assign without our consent.

15. Governing law and disputes

• These Terms are governed by the laws of Germany, without regard to conflict-of-law rules.
• If you are a consumer in the European Union, you also benefit from mandatory consumer protection laws of your country of residence.
• Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Germany, except that consumers in the EU may bring proceedings in their country of residence where the law allows.
